1.Introduction

Welcome to Wonder Capital Pte Ltd ("Company", "we", "us", or "our").

By accessing our website, engaging our services, accepting a quotation, signing a service agreement, or making payment, the customer ("Client", "you", or "your") agrees to these Terms & Conditions.

These Terms govern our provision of website design, website development, e-commerce solutions, SaaS development, website maintenance, system integration, and related IT services.

2.Scope of Services

Our services may include:

  • Website design and custom development
  • Corporate websites and e-commerce platforms
  • Content Management Systems (CMS)
  • Software as a Service (SaaS) development
  • Website hosting and domain configuration
  • API and third-party system integration
  • Website maintenance and technical support
  • UI/UX design and other agreed digital solutions

The specific scope, deliverables, technical requirements, pricing, and estimated completion dates shall be stated in the accepted quotation, proposal, or Statement of Work ("SOW").

Any service or functionality not expressly included in the agreed scope may require additional charges.

In the event of inconsistency between these Terms and a signed project agreement, the signed project agreement shall prevail for that project.

3.Project Commencement

A project shall commence only after:

  1. The Client accepts the quotation or service agreement.
  2. The required initial payment is received.
  3. Necessary documents, information, and project requirements are provided.

Project timelines are estimates unless an expressly binding deadline is agreed in writing.

Delays resulting from missing information, additional requests, third-party providers, or circumstances outside our reasonable control may extend the project schedule.

4.Pricing and Payment

4.1.All project fees shall be based on the quotation accepted by the Client.

4.2.Payments shall follow the agreed milestones or instalment schedule.

4.3.Unless otherwise stated, fees are quoted in Singapore Dollars (SGD), with applicable GST identified in the quotation or invoice.

4.4.The Company may suspend work for overdue invoices after providing written notice and a reasonable opportunity to remedy the non-payment.

4.5.Final deliverables, production deployment, ownership transfer, and administrative access handover may be conditional upon payment of the applicable outstanding fees.

4.6.Any additional development outside the original scope requires the Client's approval of the additional charges before the work proceeds.

5.Client Responsibilities

The Client agrees to:

  • Provide accurate business information and project requirements.
  • Supply necessary text, images, logos, branding assets, and other content.
  • Respond to requests for clarification and approval within a reasonable period.
  • Ensure all materials provided are legally owned or properly licensed.
  • Review deliverables and communicate any issues promptly.
  • Maintain necessary third-party subscriptions and service accounts.

The Company shall not be responsible for delays directly caused by the Client's failure to fulfil these obligations.

6.Revisions and Change Requests

6.1.The agreed project fee includes the revision rounds stated in the quotation or SOW.

6.2.Revisions must relate to the originally agreed scope.

6.3.Requests for additional pages, features, modules, system integrations, or substantial redesigns may be separately quoted.

6.4.Changes that affect approved designs or completed development may result in additional costs and revised timelines.

7.Project Delivery and Acceptance

7.1.The Company shall provide the completed deliverables for testing and review.

7.2.Unless otherwise specified, the Client shall have seven (7) business days to review the deliverables and report any material non-conformity with the agreed scope.

7.3.The Company shall rectify verified defects or material non-conformities attributable to its work within a reasonable period at no additional charge.

7.4.Where the Client does not respond within the review period, the Company shall issue a reminder and provide a reasonable further opportunity to respond before treating the deliverables as accepted.

7.5.Formal acceptance does not affect any contractual warranty or mandatory legal rights.

8.Intellectual Property and Ownership

8.1.Upon full payment of all applicable project fees, the Client shall own the intellectual property rights in the original, bespoke website designs, content, and custom code created specifically for the Client, to the extent such rights are transferable and not otherwise specified in the SOW.

8.2.The Company retains ownership of its pre-existing software, development frameworks, reusable components, tools, methodologies, and proprietary technologies.

8.3.Where retained Company technology forms part of the delivered solution, the Client shall receive a perpetual, non-exclusive licence to use that technology as incorporated in the paid deliverables.

8.4.Third-party software, plugins, templates, fonts, stock media, and open-source components remain subject to their applicable licences.

8.5.Upon full payment, the Company shall provide the agreed files, credentials, documentation, and access necessary for the Client to operate the delivered website.

9.Hosting and Third-Party Services

Unless expressly included in the project agreement, the following services may incur separate fees:

  • Domain registration and renewal
  • Website hosting and server rental
  • SSL certificates and premium security products
  • Third-party software licences and paid plugins
  • Payment gateway and transaction fees
  • Email hosting and external API subscriptions

The Company shall not be responsible for third-party service outages or policy changes beyond its reasonable control, but shall remain responsible for any obligations expressly undertaken in relation to those services.

10.Maintenance and Technical Support

Unless otherwise agreed, the project price does not include indefinite maintenance or support.

The Company will provide a thirty (30) calendar-day post-delivery defect correction period, commencing upon project acceptance.

This covers reproducible defects in delivered functionality that cause a material departure from the agreed project specifications.

The following are excluded unless caused by our breach or defective work:

  • New development or feature requests
  • Changes made by the Client or unauthorised third parties
  • Third-party platform updates outside our control
  • Hosting or infrastructure failures outside our responsibility
  • Problems caused by misuse or unsupported modifications

Ongoing technical support and maintenance are available under separate agreements.

11.Confidentiality and Data Protection

Both parties shall keep confidential any non-public commercial, technical, financial, or operational information obtained during the project.

Personal data shall be handled in accordance with applicable Singapore data protection laws, including the Personal Data Protection Act 2012 (PDPA).

Where the Company processes personal data on behalf of the Client, the parties shall agree on appropriate processing instructions, security responsibilities, and any additional data protection terms required for the project.

12.Security and Website Performance

The Company shall exercise reasonable care and skill in providing development services and implementing agreed security measures.

However, no website or digital system can be guaranteed to be completely free from security vulnerabilities, interruptions, cyberattacks, or third-party failures.

Search engine rankings, advertising performance, sales conversions, and revenue outcomes are not guaranteed unless specific measurable commitments are expressly agreed in writing.

13.Cancellation and Termination

13.1.Either party may terminate a project in accordance with the agreed project contract and our Refund & Cancellation Policy.

13.2.Where either party materially breaches its contractual obligations, the affected party may issue written notice requiring the breach to be remedied within fourteen (14) calendar days, where the breach is capable of remedy.

13.3.If the breach is not remedied within that period, the affected party may terminate the agreement by written notice.

13.4.Upon termination, the Company shall provide an accounting of work completed, amounts earned, approved third-party expenses, and any refund due.

13.5.Where the Client has paid for completed deliverables, the Company shall hand over those deliverables subject to the agreed intellectual property and licensing terms.

14.Refunds

Cancellation, refunds, and reimbursement arrangements shall be governed by our separate Refund & Cancellation Policy, which forms part of these Terms.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

15.Limitation of Liability

To the extent permitted by applicable law:

15.1.Neither party shall be liable for indirect or consequential losses, such as lost profits or anticipated business opportunities, except where such exclusion is prohibited by law.

15.2.The Company's aggregate liability arising from a particular project shall not exceed the total fees paid or payable for that project, subject to applicable law and the requirement that any limitation be reasonable and enforceable.

15.3.Nothing in these Terms excludes or restricts liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.

16.Force Majeure

Neither party shall be responsible for failure or delay caused by circumstances beyond its reasonable control, including natural disasters, major infrastructure disruptions, government restrictions, or widespread network failures.

The affected party shall provide prompt notice and take reasonable steps to minimise the impact.

If such circumstances substantially prevent performance for more than thirty (30) consecutive days, either party may request termination and a fair settlement based on work performed and costs properly incurred.

17.Dispute Resolution

The parties agree to attempt to resolve disputes through good-faith discussions before initiating court proceedings, without restricting any urgent or statutory remedies.

These Terms shall be governed by the laws of Singapore.

Subject to applicable mandatory legal requirements, the courts of Singapore shall have exclusive jurisdiction.

18.Amendments

The Company may update these Terms from time to time.

Amended Terms shall apply prospectively to new engagements after publication, unless otherwise agreed in writing.

Existing projects shall continue to be governed by the terms accepted at the time of engagement unless both parties agree otherwise.
